Terms of service
Effective October 9, 2026
These Terms of Service (the "Terms") govern your access to and use of SpawnLoop’s software, website, and related services (the "Service"). By using the Service, you agree to these Terms.
Using the Service
You may use the Service only in compliance with these Terms and applicable law. The Service is for businesses and is not intended for children. You must be at least 18 years old to use it. If you use the Service for an organization, you represent that you have authority to accept these Terms for it. You are responsible for people who use the Service through your account and for keeping sign-in information secure. Promptly notify us if you suspect unauthorized access.
Your connected accounts and data
You may connect third-party services, such as Stripe or Salesforce, to SpawnLoop. You represent that you have the authority to connect them and to authorize SpawnLoop to access and process the information they make available. You retain all rights in that information. You grant SpawnLoop a limited, worldwide, non-exclusive right to host, copy, transmit, and process it only to provide, secure, support, and improve the Service for you. Your use of a connected service remains subject to that service’s terms and policies.
SpawnLoop connects to Stripe with read-only access to invoices, refunds, and subscriptions. SpawnLoop cannot create charges, issue refunds, or change anything in your Stripe account, and you can uninstall the SpawnLoop app from Stripe at any time. Disconnecting or uninstalling stops syncing, but it does not delete the information already imported or cancel your plan; see Closing your account.
Plans, fees, and billing
Current plans and prices are listed on our pricing page. Prices are in U.S. dollars and do not include taxes.
- Free plan. The Service is free while your connected Stripe account has 100 or fewer customers in total, counting paying, free, and canceled customers.
- Paid plans. Above 100 customers, your monthly fee is the base fee for your plan plus a rate for each paying customer and a lower rate for each other customer, as shown on the pricing page. A paying customer is a customer whose paid revenue, after refunds, was above zero at some point in the 12 months before the count. Every other customer is an other customer. Your plan (Starter, Basic, Pro or Growth) is set by your total number of customers, paying and other, as shown on the pricing page.
- Billing day and how we count. Your billing day is the day of the month you set up SpawnLoop and first pay. On each billing day we count customers from the Stripe account you connect (the billing-day count). You can see your counts in the Service.
- Excluded accounts. You can exclude a customer by opening their page, choosing a reason (Spam, Testing, or Internal), and selecting Exclude from customer analytics. Excluded customers are removed from your analytics and from billing from your next billing-day count. Use this only for accounts that really are spam, testing, or internal. You are responsible for exclusions made through your account. If customers are excluded to reduce fees, we may count them and invoice the difference.
- Billing and payment. Everything is billed in advance. When you set up a paid plan, you pay its base fee for the first month; the base fee follows your total number of customers. Once we have counted who paid in the last 12 months, we invoice the per-customer fees for that first month. On each billing day after that, we invoice the base fee plus the per-customer fees for the month ahead, based on the billing-day count. If your plan changes, the new plan applies from your next billing day. On an annual plan, which takes 20% off every fee, you pay the base fee and the per-customer fees for 12 months in advance, are invoiced more only if your customers grow (for the months left in the year), and the plan renews automatically after 12 months. Free accounts keep a payment method on file but are not charged while they stay on the Free plan. We charge the payment method on your account. You authorize us and our payment processor, Stripe, to charge that payment method for fees and applicable taxes when due. You are responsible for taxes other than those on our income.
- Fair use. Every plan includes unlimited Admin and Member seats and no published limit on AI questions. If usage becomes abusive or puts the Service at risk, we may apply reasonable limits after giving you notice.
- Optional services. Optional services, such as a revenue review with our founder, are charged at the price shown when you book them. They are separate from your plan and are not credited toward plan fees, and they do not provide legal, financial, accounting, tax, or other professional advice.
- Price changes. We will give you at least 30 days’ notice before a price increase takes effect. The new price applies from your next billing period after the notice period ends.
- Late or failed payment. If a payment fails, we will notify you. If it is still unpaid 14 days after that notice, we may suspend paid features until it is paid.
- Cancellation and refunds. You cancel your plan by closing your account, as described in Closing your account. Once every Admin approves, we stop billing on your regular schedule; when the account’s data is deleted, we invoice the usage since your last invoice, with no new base fee. On a prepaid annual plan, fees for the annual term are not refunded if you cancel during the term. Fees already paid, including a base fee paid in advance, are not refundable, except where required by law.
- Billing questions. If you believe an invoice is wrong, contact [email protected] within 60 days of the invoice date and we will review it with you.
AI-assisted features
Some Service features use AI to generate analyses, summaries, or recommendations. Outputs may be incomplete, inaccurate, or unsuitable for your circumstances. You are responsible for reviewing outputs and for decisions you make based on them. The Service does not provide legal, financial, tax, employment, or other professional advice.
Acceptable use
You may not misuse the Service. In particular, you may not interfere with its operation or security, access it using unauthorized methods, reverse engineer it except where law permits, introduce malicious code, use it to violate another person’s rights or applicable law, or provide information you do not have the right to provide.
Our intellectual property
SpawnLoop and its licensors retain all rights in the Service, including its software, designs, and documentation. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes. If you share feedback or suggestions, you grant us permission to use them without restriction or compensation to you.
Service changes and availability
We may modify, suspend, or discontinue features when reasonably necessary to operate, improve, secure, or comply with law. We aim to keep the Service available, but it may occasionally be unavailable for maintenance, security, or circumstances beyond our control.
Disclaimers and liability
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, SpawnLoop disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, SpawnLoop will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill. SpawnLoop’s total liability arising out of or related to the Service will not exceed the greater of the amounts you paid for the Service in the 12 months before the event giving rise to liability or one hundred U.S. dollars.
Closing your account
An Admin can ask to close your account and delete its data from Settings in SpawnLoop (“Delete this account and all the data”). Every Admin on the account must approve. When the last Admin approves, we disconnect Stripe and close the account, and 30 days later we permanently delete the information imported from your connected services and the data derived from it. Any Admin can cancel before that date. Deleted data can’t be recovered. Some records are kept after deletion, including our invoices to you and a billing record of the customer counts and Stripe customer IDs we billed on, as described in our Privacy Notice. Please pay any outstanding balance before you close your account.
Termination
You may stop using the Service at any time. Fees for billing periods before termination remain payable. We may suspend or terminate access if you materially breach these Terms, create risk for the Service or others, or if required by law. Sections that by their nature should survive will survive termination.
Privacy and changes
Our Privacy Notice explains how we handle personal information. We may update these Terms as the Service or legal requirements change. If we make material changes, we will update the effective date and provide additional notice when required. Continued use after the effective date means you accept the updated Terms.
